Terms of Use
These Terms of Use (hereinafter “Terms”) set forth the conditions for using the website provided by KUMOJO LUGGAGE Co., Ltd. (hereinafter “Company”). Registered users (hereinafter “Users”) shall use the Services in accordance with these Terms.
Article 1 (Applicability)
1. These Terms apply to all relations between Users and the Company regarding the use of the Services.
2. The Company may establish rules and other provisions (hereinafter “Individual Provisions”) regarding the use of the Services in addition to these Terms. These Individual Provisions shall constitute a part of the Terms regardless of their name.
3. In case of any conflict between these Terms and Individual Provisions, the Individual Provisions shall prevail unless otherwise specified.
Article 2 (User Registration)
1. To register, an applicant must agree to these Terms, submit a registration request using the method prescribed by the Company, and the Company shall notify the applicant of its approval to complete the registration.
2. The Company may refuse registration if it determines any of the following apply, without any obligation to disclose the reasons:

2-1 The applicant provides false information during registration.

2-2 The applicant has violated these Terms previously.

2-3 Other cases where the Company deems the registration inappropriate.
Article 3 (User ID and Password Management)
1. Users shall manage their user ID and password responsibly.
2. Users shall not transfer, lend, or share their user ID or password with third parties under any circumstances. The Company shall regard any login with the correct ID and password as use by the registered user.
3. Except in cases of willful misconduct or gross negligence by the Company, the Company shall not be responsible for any damages resulting from third-party use of a user’s ID or password.
Article 4 (Sales Contract)
1. A sales contract is formed when a User submits a purchase request and the Company notifies the User of its acceptance. Ownership of the product transfers to the User when the Company delivers it to the shipping provider.
2. The Company may cancel the sales contract without prior notice if any of the following occur:

2-1 The User violates these Terms.

2-2 Delivery cannot be completed due to unknown address or prolonged absence.

2-3 The trust relationship between the Company and User is deemed compromised.
3. Methods regarding payment, delivery, cancellation of orders, and returns are as separately prescribed by the Company.
Article 5 (Intellectual Property Rights)
All copyrights and other intellectual property rights in product photos and other content (hereinafter “Content”) belong to the Company or legitimate rights holders. Users shall not reproduce, redistribute, modify, or otherwise use the Content without permission.
Article 6 (Prohibited Conduct)
Users shall not engage in the following acts:

Acts violating laws or public order and morals

Acts related to criminal activity

Infringement of intellectual property rights contained in the Service

Disruption or destruction of Company servers or networks

Commercial use of information obtained from the Service

Acts that may interfere with service operation

Unauthorized access or attempts

Collecting or storing other users’ personal information

Impersonating other users

Direct or indirect benefit to antisocial forces in connection with the Service

Other acts deemed inappropriate by the Company
Article 7 (Suspension of Service)
The Company may suspend or interrupt all or part of the Services without prior notice in cases such as system maintenance, natural disasters, accidents, or other events where providing the Services is difficult. The Company shall not be liable for any damage or disadvantage caused by such suspension or interruption.
Article 8 (Use Restrictions and Registration Deletion)
1. The Company may restrict or delete a User’s registration without notice if the User violates the Terms, provides false registration information, fails to pay, does not respond to communications, or is otherwise deemed inappropriate.
2. The Company shall not be responsible for any damages resulting from actions taken under this Article.
Article 9 (Withdrawal)
Users may withdraw from the Services by following the prescribed withdrawal procedure.
Article 10 (Disclaimer of Warranties and Limitation of Liability)
1. The Company does not guarantee that the Services are free from defects or errors regarding safety, reliability, accuracy, completeness, effectiveness, suitability for a particular purpose, or security.
2. The Company shall not be liable for any damages arising from the use of the Services. This does not apply when the Terms constitute a consumer contract under Japanese law, but even then, the Company shall not be liable for special damages arising from foreseeable circumstances caused by non-performance or tort, except in cases of gross negligence.
3. The Company shall not be responsible for any transactions, communications, or disputes between Users or third parties.
Article 11 (Changes to Services)
The Company may change the content of the Services or discontinue them without notice, and shall not be liable for any damages caused to Users.
Article 12 (Changes to Terms)
The Company may revise the Terms at any time without notice. Users who continue to use the Services after revisions are deemed to have agreed to the updated Terms.
Article 13 (Handling of Personal Information)
Personal information obtained through the use of the Services shall be handled appropriately in accordance with the Company’s Privacy Policy.
Article 14 (Notifications and Communications)
Notifications and communications between the Company and Users shall be made in the manner prescribed by the Company. Unless Users submit updated contact information, the Company may consider the registered contact details valid, and notices sent to those details are deemed received upon dispatch.
Article 15 (Prohibition of Transfer of Rights and Obligations)
Users may not transfer or pledge their contractual status, rights, or obligations under these Terms to third parties without prior written consent from the Company.
Article 16 (Governing Law and Jurisdiction)
1.The interpretation of these Terms shall be governed by Japanese law. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
2. Any disputes arising in connection with the Services shall be subject to the exclusive jurisdiction of the courts with jurisdiction over the Company’s head office.
